Terms of Service

By creating an account or using Memreader (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, please do not use the Service. These Terms form a binding agreement between you and the operator of Memreader (“we”, “us”, “our”).

Memreader is a web application that lets you upload books in EPUB, PDF, and DOCX format, highlight passages, generate flashcards from those highlights, review them using a spaced-repetition algorithm, and export them to other tools such as Anki. We may add, change, or remove features at any time as the product evolves. We will make reasonable efforts to preserve your data through such changes.

You must provide a valid email address to create an account. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. Notify us promptly at support@memreader.com if you believe your account has been compromised. You must be at least 13 years old to use the Service.

Every Memreader account includes a free tier with no expiry: up to 3 books in your library, unlimited highlights on those books, and 50 active flashcards in your spaced-repetition rotation. No payment method is required to use the free tier. If you exceed the free tier's limits, you will be prompted to upgrade to Pro to continue adding new content. Your existing content remains accessible regardless of plan.

Pro features are available on a monthly or annual subscription, or as a Founding Member annual plan (limited to the first 200 customers). All payments are processed by Paddle.com Market Ltd (“Paddle”), who acts as the merchant of record. By starting a subscription, you agree to Paddle's Buyer Terms. Subscriptions renew automatically at the end of each billing period unless cancelled. You can cancel at any time from your account settings, in which case Pro features remain active until the end of the period you already paid for. Founding Member pricing is locked at $49/year for as long as your subscription stays continuously active; if you cancel, you may rejoin only at the then-current Pro rate. Prices are listed in US dollars (USD); your local currency will be converted by Paddle at checkout. Applicable taxes are calculated and collected by Paddle based on your billing location.

You may cancel your subscription at any time. Annual subscriptions (including the Founding Member plan) are eligible for a full refund within 30 days of the most recent payment. Monthly subscriptions are not refundable — instead, cancel before the next renewal to avoid further charges. To request a refund or for help with a cancellation, email support@memreader.com. You retain all rights to the books, highlights, notes, and flashcards you create or upload. We do not claim ownership of your content. By uploading content, you grant us a limited, non-exclusive license to store, process, and display it solely so we can provide the Service to you. You are responsible for ensuring you have the legal right to upload any content (for example, that you own the book file or have permission to use it). The Service is intended for personal use; do not upload copyrighted material you do not have the right to use.

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to other users' accounts or our systems; (c) reverse-engineer, scrape, or attempt to extract the Service's source code; (d) resell, sublicense, or redistribute the Service or its content; (e) upload viruses, malware, or other harmful code; (f) use the Service to harass, harm, or impersonate others; or (g) upload content that infringes intellectual property rights, is obscene, or violates applicable law.

All rights, title, and interest in the Service — including its software, design, branding, and documentation — remain our exclusive property. Nothing in these Terms transfers any of those rights to you.

We aim to keep the Service available continuously, but we do not guarantee uninterrupted access. We may suspend the Service for planned maintenance or in response to security incidents. We are not liable for downtime caused by events outside our reasonable control (outages at our hosting providers, internet failures, force majeure events, etc.).

You may close your account at any time by emailing us. We may suspend or terminate your account if you violate these Terms, engage in fraud, or attempt to harm the Service or other users. On termination, your right to use the Service ends; we will retain your data for a reasonable period in case the termination is later reversed, after which it may be deleted.

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that any defects will be corrected. You use the Service at your own risk.

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the Service. Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months preceding the claim.

We may update these Terms occasionally. When we do, we will update the “Last updated” date at the top of this page. Material changes will also be communicated by email. Your continued use of the Service after a change constitutes acceptance of the revised Terms.

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Disputes will be resolved in the courts of India having appropriate jurisdiction.
